MUSIC ENHANCEMENT SERVICE AGREEMENT

1. SERVICES PROVIDED
Service Description: Music enhancement services including but not limited to:
• Live musical accompaniment
• Event music coordination
• Performance enhancement
• Audio consultation
• Custom music arrangement

Scope of Work: Services will be provided as requested by Client and agreed upon by Provider. Specific requirements will be documented in writing for each engagement.
2. PAYMENT TERMS

3. INTELLECTUAL PROPERTY
All musical arrangements, compositions, recordings, and creative works produced under this agreement remain the exclusive property of the Service Provider. Client receives a non-exclusive license to use such works solely for the agreed-upon purposes.
Copyright Compliance: Provider will make reasonable efforts to ensure that all musical performances comply with applicable copyright laws. However, Client acknowledges that:
• Client is responsible for obtaining any necessary performance licenses (ASCAP, BMI, SESAC, etc.) for their venue/event
• Client assumes full responsibility for any copyright infringement claims arising from requested performances of copyrighted material
• Client will indemnify and hold Provider harmless from any copyright infringement claims, damages, or legal fees resulting from Client’s specific song requests or venue licensing requirements
• Provider reserves the right to decline performance of any copyrighted material if proper licensing cannot be verified
4. CONFIDENTIALITY
Both parties acknowledge that confidential information may be shared during the course of this agreement. Each party agrees to:
• Maintain strict confidentiality of all information shared
• Not disclose any details of services, events, or client information to third parties
• Use confidential information solely for the purposes of this agreement
• Return or destroy all confidential materials upon termination
This confidentiality obligation survives termination of this agreement.
5. TERMINATION
Provider’s Right to Terminate: Service Provider may terminate this agreement immediately at any time, with or without cause, by providing written notice to Client.
Client Termination: Client may terminate with [30] days written notice.
Effect of Termination: Upon termination, unused portions of retainer fees are non-refundable. All confidentiality obligations remain in effect.
6. PROFESSIONAL CONDUCT
Provider agrees to:
• Maintain professional standards at all times
• Arrive punctually for scheduled services
• Dress appropriately for each engagement
• Respect venue rules and client preferences
7. LIMITATIONS AND LIABILITY
• Services are provided on an “as-is” basis
• Provider’s liability is limited to the amount of fees paid under this agreement
• Provider is not responsible for technical failures beyond their control
• Client assumes responsibility for venue safety and security
8. CLIENT RESPONSIBILITY FOR DAMAGES
Client agrees to be fully responsible for and shall indemnify and hold harmless the Service Provider from:
• Any damage to Provider’s equipment, instruments, or personal property
• Any injury to Provider occurring at Client’s venue or during Client’s event
• Any third-party claims arising from the Client’s event or venue
• Any costs, legal fees, or expenses incurred by Provider due to Client’s negligence or breach of this agreement
• Any damage to venue property caused by Client’s guests or activities (Provider not liable for venue damages unless directly caused by Provider’s negligence)
• Any claims of psychological harm, emotional distress, or bodily injury alleged by Client, their guests, or third parties related to Provider’s musical performances or presence at the event
• Any adverse reactions, psychological responses, or claimed trauma resulting from musical content, volume levels, or performance style, regardless of whether such content was requested by Client or approved in advance
9. SCHEDULING AND AVAILABILITY
• Services scheduled based on Provider’s availability
• Client to provide reasonable advance notice for service requests
• Provider reserves right to decline services that conflict with availability or professional standards
10. DISPUTE RESOLUTION
Mediation First: In the event of any dispute arising under this agreement, the parties agree to first attempt resolution through mediation with a mutually agreed-upon mediator. Each party shall bear their own costs for mediation.
Arbitration: If mediation fails to resolve the dispute within 30 days, any remaining disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in [City, State]. The prevailing party shall be entitled to recover reasonable attorney’s fees and costs.
Limitation of Remedies: In no event shall either party be entitled to punitive, consequential, or incidental damages. The maximum liability of either party shall not exceed the total amount paid under this agreement.
Exceptions: This dispute resolution clause does not apply to:
• Breaches of confidentiality provisions
• Intellectual property disputes
• Emergency injunctive relief
• Collection of undisputed amounts owed
11. GENERAL PROVISIONS
